These Terms of Service are an agreement between you and Kadapt Ltd (UK) (“Kadapt”, “we”, “us”). Effective 2026-07-13 (provisional). Contact: mike@kadapt.com.
1. The service
Kadapt is a software service that turns photos you upload (e.g. your property listing photos) into short-form marketing videos with captions and voiceover, using third-party AI models (currently Seedance by ByteDance, accessed via OpenRouter). You review and approve drafts, then download the finished video and post it yourself. Kadapt does not post to social platforms on your behalf.
2. Accounts, plans, credits
- Subscription gives you access to Kadapt plus a monthlycredit allowance. Credits are the prepaid usage unit: every generation (stills, video, drafting) uses credits.
- Plan credits refresh each billing cycle and do not roll over. Unused plan credits expire when the new cycle’s credits are granted.
- Top-up credits expire 90 days after purchase.
- Credits are prepaid usage, not money. They have no cash value, are non-transferable, and expired credits are not refunded. We show your balance and expiry dates clearly in the app, and we’ll remind you before top-up credits expire. Credits are like a monthly gym pass — they cover the period they’re bought for.
- Credit costs per generation vary with what you ask for (length, resolution, retries). We show an estimate before any expensive render and never start one without your approval.

3. Trial
Trials require a valid payment card. Trials include a capped credit allowance; trial renders may carry a visible watermark if flagged by our abuse systems. One trial per person/card; prepaid/virtual cards may be declined. Cancel before the trial ends and you won’t be charged.
4. Your uploads — rights warranty
You may only upload content you have the right to use.Listing photos are frequently owned by the photographer or the brokerage that commissioned them — not the agent.By uploading, you warrant that:
- You own the content, or you hold a licence that covers creating derivative marketing videos from it; and
- Your use of Kadapt with that content doesn’t breach any agreement with your brokerage, MLS, photographer, or anyone else; and
- Any people identifiable in uploads have consented to this use.
You indemnify Kadapt Ltd against claims arising from content you upload (copyright, licence breach, privacy/publicity). We may remove content and suspend accounts on receipt of a credible infringement complaint (DMCA-style notice-and-takedown — see theAcceptable Use Policy).
5. AI output
- Licence: as between you and us, you own the videos, captions, and scripts Kadapt generates for you, and may use them for your business marketing. We retain the right to operate the service (processing, storage, delivery) and —only with your opt-in — to showcase your before/afters as examples.
- No guarantees: AI output can be wrong, odd, or off-brand. We make no promise of accuracy, quality, engagement, views, leads, or sales.
- Human review is mandatory: you must review every generated video, caption, and script before publishing it. The approval steps in the product exist for this. Once you approve and download, responsibility for the content — including its accuracy — is yours.
6. Property fidelity — “motion, not modification” (and its limits)
Kadapt is designed to animate your photos, not re-imagine the property: camera motion, transitions, captions, and voiceover over the images you supplied. Our guardrails suppress invented text, signage, logos, and structural changes.However, generative AI can introduce artifacts or alterations we cannot fully prevent. That is exactly why the review gate exists: you must check the final video faithfully represents the property before publishing. A video you have approved is your representation to your market — misrepresentation liability (e.g. under state consumer-protection or real-estate advertising rules) sits with you as the advertiser, not with Kadapt.
7. Fair housing & professional compliance
- Kadapt provides language guardrails intended to avoid common Fair Housing Act problem phrases (e.g. steering language like “perfect for families”) in generated scripts and captions. This is a helpful filter,not legal advice and not a compliance guarantee.
- You remain solely responsible for your content’s compliance with the Fair Housing Act, state fair-housing and advertising laws, your MLS rules, your brokerage’s policies, and your licensing obligations (including any required brokerage identification in advertising).
- If a guardrail blocks something you believe is fine, you can edit the script yourself — at which point the edited text is entirely yours.
8. Acceptable use
You must comply with our Acceptable Use Policy, whichpasses through the usage policies of our AI providers (OpenRouter and the underlying model providers, currently ByteDance/Seedance). If a provider rejects or moderates a generation, we may be unable to complete it (moderation false-positives are retried where possible; rejected jobs are not charged).
9. Billing, cancellation, refunds
- Subscriptions bill monthly (or annually if offered) via Stripe, in USD,exclusive of sales tax — tax is added at checkout where we’re registered to collect it.
- Cancel any time; access and remaining plan credits run to the end of the paid period. No pro-rata refunds for partial months as standard.
- Refunds: unused, unexpired top-up credits may be refunded within 14 days of purchase on request. Plan fees for periods already consumed, and expired credits, are not refundable. Nothing in this section limits statutory rights that cannot be excluded (see section 12).
- Failed payments: we retry, then downgrade/suspend. Credits pause with the subscription.
10. Data & retention
Generated assets and uploads auto-delete 90 days after creation (download what you want to keep). Account deletion removes your data per thePrivacy Policy.
11. Our IP, service changes, suspension
- Platform IP: the Kadapt software, templates, VFX presets, prompt systems, example galleries, and brand are ours (or our licensors’). Your subscription is a licence to use the service, not to copy, resell, reverse-engineer, or extract our prompts/presets.
- Service changes: models, features, credit costs per generation, and guardrails will evolve (underlying AI providers change frequently). We may modify the service, and will give reasonable notice of material adverse changes to paid plans. Price changes apply from your next billing cycle, with notice.
- Beta features are labelled as such and provided without any warranty; they may be metered differently or withdrawn.
- Suspension: we may suspend accounts for non-payment, Acceptable Use Policy breach, security risk, or where a provider/legal obligation requires it. Where practical we warn first.
12. Liability
- Nothing excludes liability for fraud, or for death/personal injury caused by negligence, or anything else that cannot lawfully be excluded.
- Otherwise: the service is provided “as is”; we exclude implied warranties to the extent permitted; our total liability is capped at the amount you paid us in the 12 months before the claim; and we’re not liable for indirect/consequential loss (lost profits, lost commissions, lost listings, reputational harm from content you approved and published).
- Content-specific allocation (restated for clarity): we are not liable for consequences of content that you reviewed, approved, and published — including fair-housing complaints, misrepresentation claims, and MLS/brokerage discipline. Our responsibility ends at providing the guardrails and the review gate as described; yours begins at “approve.”
13. Governing law & disputes
These terms are governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales — except that consumers keep any mandatory protections and venue rights of their home jurisdiction. This clause is under active attorney review and may change in the final terms.
